Terms of Service

These terms apply to business customers only. This English version is provided for convenience; the French version prevails in the event of a discrepancy.

1. Provider identification

These terms of service (the "Terms") are entered into between:

hereinafter "Verity Score", and any legal entity or individual acting for professional purposes who subscribes to a Verity Score service, hereinafter the "Customer".

2. Purpose and scope

Verity Score provides an online software service (SaaS) for auditing and improving the visibility of online stores to generative search engines and AI agents (the "Service").

The Terms govern subscription to the Service regardless of the access channel: the verityscore.io website, the Shopify app, the MCP server or the API.

Any subscription implies unreserved acceptance of the Terms. They prevail over any purchasing terms of the Customer, unless otherwise agreed in writing.

3. Contractual documents

The contract consists of the following, in decreasing order of precedence:

  1. the signed order form or quote, if any
  2. the data processing agreement
  3. these Terms
  4. the pricing schedule in force on the subscription date
  5. the privacy policy

4. Subscription

Subscription is completed online by selecting a plan and confirming the order. For the Shopify app, subscription and renewal are approved by the Customer within the Shopify admin.

The Customer warrants that it has the legal capacity and authority to bind the entity it represents, and that the information provided is accurate.

The contract is formed upon order confirmation by Verity Score or, for the Shopify app, upon the Customer approving the subscription in the Shopify admin.

5. Description of the Service

The content of each plan, included volumes and associated features are described on the pricing page, which forms an integral part of the contract.

The Service produces analyses, scores and technical recommendations. It is a best-efforts obligation. Verity Score gives no guarantee of ranking, citation, traffic or revenue with any search engine, generative engine or AI agent, as those systems are operated by third parties under rules they change unilaterally.

Verity Score may evolve the Service. Changes that would materially reduce a feature included in the subscribed plan are notified to the Customer at least thirty (30) days before taking effect, and the Customer may then terminate without penalty.

6. Free trial

Some plans include a free trial period, the duration of which is stated on the pricing page. Unless cancelled before it ends, the subscription automatically continues as a paid plan at the end of the trial.

One trial is granted per store. Verity Score may refuse a trial in the event of manifestly abusive use.

7. Pricing, invoicing and payment

Prices are set out on the pricing page. They are expressed in United States dollars (USD), excluding tax.

Applicable value added tax is that in force on the invoice date. For a business Customer established in the European Union outside France holding a valid EU VAT number, the tax is reverse-charged by the Customer (Art. 196 of Directive 2006/112/EC). For a Customer established outside the European Union, the service is not subject to French VAT.

Billing through Shopify. For the Shopify app, billing, collection and issuance of receipts are operated by Shopify under its Billing API and governed by the Shopify terms the Customer has accepted. Verity Score neither collects nor stores any payment data.

Subscriptions are payable in advance, monthly or annually depending on the commitment chosen. The annual plan is invoiced in full at subscription.

In the event of late payment, late-payment interest at three times the French statutory interest rate plus a fixed recovery indemnity of EUR 40 fall due automatically and without formal notice (Art. L441-10 and D441-5 French Commercial Code).

Verity Score may revise its prices. Any revision is notified at least thirty (30) days before taking effect and applies only from the next renewal. The Customer may terminate without penalty before the effective date.

8. Term, renewal and termination

The subscription is entered into for the period chosen (monthly or annual) and renews automatically for successive periods of the same duration.

The Customer may terminate at any time from its admin interface. Termination takes effect at the end of the current period: amounts already paid for the current period remain due and no pro-rata refund is owed, except where mandatory law provides otherwise.

Uninstalling the Shopify app constitutes termination effective at the end of the current billing period.

Verity Score may terminate on thirty (30) days' notice given by email.

9. Customer obligations

The Customer undertakes to:

  • audit only sites it owns or operates, or for which it holds authorization
  • not circumvent volume limits, nor resell or make the Service available to third parties outside the subscribed scope
  • not attempt to extract, decompile or reproduce the methodology, scoring grids or code of the Service
  • keep its credentials confidential and promptly report any unauthorized access
  • review, before publication, any content generated or suggested by the Service

The Customer remains solely responsible for the content of its store, for compliance with the regulations applicable to its products (claims, labelling, sector-specific compliance) and for the accuracy of the information it publishes.

10. Fixes applied to the store

Certain features allow Verity Score to write to the Customer's store (product pages, metadata, pages, structured content).

Such writes are performed only after the Customer's explicit authorization, evidenced by granting the corresponding scopes and by approving each proposed fix or batch of fixes after preview.

An undo function allows reverting to the previous state for the period stated on the pricing page for the subscribed plan.

The Customer remains responsible for the content it approves and for maintaining its own backups. Verity Score cannot be held liable for the consequences of a fix approved by the Customer.

11. Availability and support

Verity Score uses reasonable efforts to keep the Service available, excluding scheduled maintenance, notified where it is likely to affect the Service, and excluding unavailability attributable to a third party (Shopify, hosting provider, model provider, audited engine).

Support is provided by email at [email protected] at the level provided by the subscribed plan. A formal service level agreement (SLA) is offered only under an Enterprise contract.

12. Intellectual property

The Service, its code, methodology, scoring grids, interfaces and documentation remain the exclusive property of Verity Score.

Verity Score grants the Customer a personal, non-exclusive, non-transferable and non-sublicensable right of use, limited to the subscription term and to the Customer's internal needs.

The Customer's store data and the content it publishes remain its property. The Customer grants Verity Score the right to process them solely to perform the Service.

Audit reports may be used freely by the Customer within its organization and with its service providers.

13. Personal data

Personal data processing is described in the privacy policy.

Where Verity Score processes personal data on behalf of the Customer, in particular through the Shopify app, the parties are bound by the data processing agreement, which forms an integral part of the contract and satisfies the requirements of Article 28 GDPR.

14. Confidentiality

Each party undertakes not to disclose the other party's confidential information, for the term of the contract and for three (3) years thereafter.

Information that is public, already known, independently developed, or whose disclosure is required by law or a competent authority is not confidential.

Verity Score may cite the Customer's name and logo as a commercial reference, unless the Customer objects in writing.

15. Liability

Verity Score's liability is limited to direct and foreseeable damages. Indirect damages are excluded, in particular loss of revenue, profit, customers, data, reputation or opportunity.

In any event, Verity Score's total liability, on all grounds combined, is capped at the amount excluding tax actually paid by the Customer over the twelve (12) months preceding the triggering event.

These limitations do not apply in cases of wilful misconduct, gross negligence, personal injury, or where the law prohibits them.

Verity Score is not liable for commercial decisions made by the Customer on the basis of the analyses provided, nor for the behaviour of third-party AI engines and agents.

16. Force majeure

Neither party is liable for a failure resulting from force majeure within the meaning of Article 1218 of the French Civil Code. If the impediment exceeds sixty (60) days, either party may terminate automatically by written notice.

17. Suspension and termination for breach

Verity Score may suspend access to the Service, after notice left without effect for fifteen (15) days, in the event of non-payment or breach by the Customer of its obligations.

Immediate suspension without notice is possible in the event of a security threat, fraudulent use or unlawful activity.

In the event of a material breach not remedied within thirty (30) days of a formal notice, the aggrieved party may terminate automatically, without prejudice to damages.

18. Data retrieval

On termination, the Customer has thirty (30) days to export its data from its interface. After that period, data is deleted under the conditions described in the privacy policy, subject to legal retention obligations.

19. Changes to the Terms

Verity Score may amend the Terms. Any material change is notified to the Customer at least thirty (30) days before it takes effect. Absent termination before that date, the new Terms are deemed accepted.

20. Assignment and subcontracting

Verity Score may use sub-processors to perform the Service, listed in the data processing agreement, and remains responsible for their performance.

The contract may be assigned by Verity Score as part of a merger, contribution or business transfer, with prior notice to the Customer.

21. No right of withdrawal

As the Service is intended for professionals acting within their business, the right of withdrawal provided by the French Consumer Code does not apply.

By exception, a business Customer employing fewer than six staff and subscribing to a service outside the scope of its main activity benefits from the fourteen (14) day withdrawal period provided by Article L221-3 of the French Consumer Code. Where applicable, the request is sent to [email protected].

22. Governing law and disputes

The Terms are governed by French law.

In the event of a dispute, the parties will seek an amicable solution before any legal action. Failing agreement within sixty (60) days, exclusive jurisdiction is granted to the Tribunal des activités économiques de Paris, including in the event of multiple defendants, third-party proceedings or urgent proceedings.
